E-Invoicing in the UAE: Legal Requirements, Timeline, and How to Prepare

With the UAE advancing its digital transformation goals, the Federal Tax Authority (FTA) has announced the phased implementation of EInvoicing a move that will redefine how businesses issue, manage, and report invoices for VAT purposes. This initiative aligns with the UAE’s commitment to enhancing transparency, combating tax evasion, and fostering a digital economy. However, compliance requires more than just software, it demands readiness in systems, processes, and controls. In this blog, we break down the legal requirements, implementation phases, and how FinExe Consulting FZE can help your business stay ahead.

What Is E-Invoicing?

E-Invoicing refers to the electronic generation, exchange, and storage of tax invoices and credit notes through a structured digital format. It ensures real-time or near real-time transmission of invoice data to the Federal Tax Authority (FTA) via its designated platform.

E-Invoices must be generated in accordance with FTA’s formatting and system integration requirements, ensuring consistency, traceability, and auditability.

Legal Framework & Mandate

The legal basis for e-invoicing in the UAE is derived from:

  • Federal Decree-Law No. (8) of 2017 on VAT

  • Cabinet Decision No. (91) of 2023 and Ministerial Decision No. (259) of 2023

  • FTA’s Public Clarification VATP033 & VATP044, and e-invoicing guides issued in 2023–2024

Under these, electronic invoices will become mandatory for all VAT-registered businesses, starting with large taxpayers and gradually expanding to SMEs.

Implementation Timeline (as of July 2025)

The FTA has announced a phased rollout of mandatory e-invoicing based on taxpayer segments and turnover:

  • Phase 1 – Large Taxpayers
    Effective Date: July 1, 2025
Criteria: VAT-registered entities with annual turnover exceeding AED 100 million

  • Phase 2 – Mid-Sized Taxpayers
    Effective Date: January 1, 2026
Criteria: VAT-registered entities with turnover above AED 50 million

  • Phase 3 – All Taxable Persons
    Expected: Late 2026 / Early 2027
Criteria: All remaining VAT-registered entities, including Free Zone companies and SMEs

Note: Early voluntary adoption is encouraged, especially for businesses with recurring B2B transactions, large volumes, or system-integrated invoicing.

Key Legal & Technical Requirements

To comply with the UAE’s e-invoicing regulations, your system must meet the following criteria:

  1. Structured Digital Format

    • E-invoices must be issued in a machine-readable format (e.g., XML/UBL)

    • PDF-only formats will not meet compliance standards

  2. FTA Integration & Clearance

    • Real-time or batch submission of invoices to the FTA’s e-invoicing platform

    • Certain invoices may require pre-clearance approval from the authority

  3. Unique Invoice Identification

    • Every e-invoice must carry a UUID and a cryptographic stamp issued via registered e-invoicing systems

  4. Mandatory Fields

    • TRN of supplier and customer

    • Invoice type, date, and time

    • VAT breakdowns per item line

    • Supply codes and tax treatment

    • QR code (for B2C invoices)

  5. Archival Requirements

    • All e-invoices must be securely archived for 5 years (7 years in some sectors)

    • Must be accessible for audits in a readable format

  6. System & Cybersecurity Standards

    • Only FTA-approved software providers can be used

    • E-invoicing platforms must comply with UAE cybersecurity standards
